This supplier code of conduct defines the principles and standards that Ankutsan A.Ş expects its suppliers of goods and services to understand and comply with. The Code is in line with the principles and standards we expect from our Company's employees and our customers' expectations from us.

We will work with our suppliers to ensure that they maintain adequate standards in all areas of Corporate Responsibility, particularly in their relationships with their employees. This will help us ensure that our products and services meet our Corporate Responsibility goals and our customers' expectations.

The Code will help our suppliers make the right and ethical choices. We will assist our suppliers in any way we can to comply with the Code, but we will take appropriate action against suppliers who fail to take all reasonable steps to comply with the Code.

Ankutsan undertakes to exhibit attitudes and behaviors in accordance with the Ankutsan Ethical Principles, which consists of a combination of Moral Institutions, Ethical Products and Moral Employees, as detailed below, in all its activities towards the people and organizations with which it has business relations, its customers, suppliers and employees at home and abroad. Ankutsan undertakes to comply with the criteria accepted by the company and to strive for the widespread adoption of all these principles, especially in its own sector.

Every supplier must ensure that the behavior of its employees does not provide or appear to provide personal gain at the expense of our Company, the supplier or other third parties with whom our Company does business.

Giving and receiving gifts, entertainment, and tips to employees or individuals associated with our Company, or to a third party on our Company's behalf, represents a potential source of conflict of interest. Any significant gift, entertainment or gift that could be considered influential in decision making is unacceptable.

 

Bribery and Corruption

It is against our Company policy to make or receive illegal payments or incentives, such as bribes or facilitation payments or other corrupt practices.

Bribery may include the giving or offering of any gift, consideration, reward or advantage to a business or government official to obtain or retain a commercial advantage or to encourage or reward the recipient for improper conduct. Obtaining Information and Protecting Confidential Information

  • Within the framework of Ankutsan Information Policies, the public and relevant social stakeholders provide accurate and complete information about the company and its activities.
  • Ankutsan does not share the private information of the companies that serve it with third parties without their permission.
  • Ankutsan employees, who attach importance to customer satisfaction, convey all customer complaints to the Customer Representative as soon as possible.
  • Employees do not leak confidential and private information (especially those with financial and engineering content) learned as a requirement of the position or job outside the company, and do not give interviews, statements or statements to visual or written media outlets without the approval of the company management.
  • Employees do not share the private information they have obtained about the employees of the company due to the work done, with anyone other than the business.
  • Employees must comply with the company's commercial information and confidentiality obligations even after leaving the company.
  • All kinds of documents (handwriting, notes, computer files and e-mails, technical drawings, documents of ideas formed by brainstorming, patents, etc.) that the employees use or create while doing their work are the property of Ankutsan. These documents must be truthful. When the documents in question are no longer valid, they should be destroyed in accordance with the company policy or, if necessary, should be kept in accordance with the company policy and the provisions of the applicable legislation regarding the storage of such documents.

From time to time, our Company's suppliers may be granted access to information that may be confidential. No supplier should access, modify, disclose, or exploit without appropriate authorization any trade secret, confidential business or personal information for any purpose other than as is appropriately necessary to perform its duties lawfully. The confidentiality obligation continues after the business relationship with the suppliers has ended and includes disclosure to others. Suppliers are expected to comply with non-disclosure agreements regarding our Company's confidential information.

From time to time, our Company's suppliers may be granted access to our Company's assets, in which case they are responsible for safeguarding and wise management of such assets. Sanctions

Suppliers must ensure that they conduct their business in compliance with all international trade laws and sanctions. Suppliers must not provide materials or services to our Company, directly or indirectly, from a country, person or entity that would violate any trade sanction, trade embargo, export control or other trade restriction.

 

Tax Laws

We take our tax responsibilities seriously and expect our suppliers to do the same. Suppliers must not knowingly engage in any tax evasion when acting on or on behalf of our Company.

Quality Of Goods and Services

All goods and services supplied to our company are expected to comply with applicable legal and regulatory requirements. Suppliers have a responsibility to promptly alert our Company if there are concerns regarding product safety, quality control, or compliance.

Any service provided to our company must be provided by suitably qualified and trained personnel, with due care, to a reasonably high standard of quality and comply with any order in all respects.

Any goods supplied must in all respects meet the requirements of any order and specification provided by our Company and/or samples supplied or recommended by the supplier and its representatives. Suppliers must refrain from subcontracting any order received from our Company without our Company's prior written consent.



Explanition / Reporting Violations

Suppliers must report to our Company any actual or suspected violation of the rules that concern or affect our Company, or any violation of any applicable law. This also includes actual or suspected misconduct by our Company's employees.


Audit and Termination Of Contracts

Our company reserves the right to verify a supplier's compliance with the Code through audits and reviews. As a supplier of our company, you agree to grant us reasonable access to such records during normal business hours and to provide information we may reasonably need to determine whether you have complied with the Code to our satisfaction. Suppliers that fail to meet all requirements after the initial assessment/audit will be given the opportunity to achieve full compliance within a period deemed appropriate to the situation.

Our company reserves the right to take appropriate measures in the following cases:

  • Unacceptable practices have been identified in any facility used to manufacture or supply our products. Such practices apply to the principles or principles referred to in the Labor practices and human rights section of the Code of Conduct.
  • Our company has reason to believe that the supplier has not made sufficient or decisive progress in implementing corrective actions.
  • Eligible actions may include suspending orders, reducing orders, canceling pending orders, and terminating the business relationship.
